Terms and Conditions

These General Terms and Conditions (hereinafter, the “Terms”) govern all services provided by the Service Provider (hereinafter, the “Provider”) to the Client. By requesting or accepting the provision of services, the Client acknowledges having read and agreed to these Terms and undertakes to comply with them.

1. Scope of Services

The Provider agrees to deliver services to the Client that may include, without limitation, customer service, technical support, sales assistance, administrative tasks, strategic consulting, and any related functions deemed necessary.

2. Payment Terms

Invoices issued by the Provider will be denominated in Canadian dollars (CAD). Unless otherwise specified, payment is due upon receipt of the invoice and no later than seven (7) calendar days from the date of issuance. Late payments may result in the application of additional fees.

3. Confidentiality

Each party agrees to maintain the strict confidentiality of any information, data, or document exchanged in the course of executing these Terms. No disclosure to third parties shall occur without the prior written consent of the other party, except where required by law.

4. Intellectual Property

All documents, tools, reports, analyses, or content specifically developed by the Provider for the Client shall remain the exclusive property of the Client. However, any pre-existing material, methods, processes, or documents belonging to the Provider shall remain the exclusive intellectual property of the Provider.

5. Limitation of Liability

The Provider’s liability, regardless of cause, is strictly limited to the total amount actually paid by the Client for the services subject to the claim. Under no circumstances shall the Provider be held liable for indirect, incidental, special, or consequential damages.

6. Termination

Either party may terminate this agreement at any time by providing seven (7) days’ written notice to the other party. Services rendered up to the effective date of termination shall be invoiced and remain payable.

7. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Quebec, Canada, and any dispute relating to their interpretation or execution shall fall under the exclusive jurisdiction of the courts of said province.
